ANML FARM Terms of Service

1. Introduction and Acceptance of Terms

Welcome to ANML FARM (“we,” “our,” or “us”). By accessing or using our website (anmlfarm.com), mobile applications, and services (collectively, the “Services”), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

These Terms of Service constitute a legally binding agreement between you (“User,” “you,” or “your”) and ANML FARM regarding your use of the Services. You must be at least 18 years old or have the permission of a legal guardian to use our Services.

By clicking “I Agree” or by using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any other policies referenced herein.

2. Service Description

ANML FARM provides a platform for agricultural management, including but not limited to:

  • Data Capture and Hosting: Collection and storage of animal data (including pictures, weight, produce, health, location, breed), farm data (including location boundaries, legal documents, employee data, financials, KYC), and equipment data (including mileage, condition, photos, location, driver/handler).
  • Legal Advisory Services: Provision of digital legal documents and templates, digital signature mechanisms, and optional digital representation in court for CCMA matters at additional costs.
  • 3rd Party Service Broker: Connection to third-party service providers for animal services (vet, breed judging, transportation), farm services (insurance, training, legal, security, actuary), and equipment services (installation, maintenance, repair, tracking, SIM management).
  • Commerce: Marketplace for buying and selling animals (or partial shares of animals), their by-products, animal-related items, security equipment, subscriptions, and farm equipment.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. Account Registration and Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

You acknowledge that we reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading, or if you fail to comply with these Terms of Service.

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, including but not limited to data protection and privacy laws in your jurisdiction.

4. User Content

“User Content” refers to any information, data, text, photographs, videos, audio clips, or other materials that you upload, post, or otherwise make available through the Services.

By submitting User Content to the Services, you grant ANML FARM a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and ANML FARM’s business operations, including for promoting and redistributing part or all of the Services.

You represent and warrant that: (i) you own the User Content or have the right to use and grant us the rights and license as provided in these Terms of Service, and (ii) the posting and use of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person or entity.

We reserve the right to remove any User Content from the Services at our discretion, without prior notice, for any reason, including if we believe that such content violates these Terms of Service or may create liability for ANML FARM.

5. Intellectual Property Rights

The Services, including all content, features, and functionality thereof, are owned by ANML FARM, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service do not grant you any right, title, or interest in the Services or any content, features, or functionality of the Services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

Any use of the Services not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.

6. Data Ownership and Usage

You retain ownership of all data that you upload to the Services. However, by uploading data to the Services, you grant ANML FARM a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit such data for the purposes of providing and improving the Services.

We may use aggregated and anonymized data derived from your use of the Services for research, analytics, and service improvement purposes. Such data will not identify you or your business specifically.

We may use machine learning algorithms to analyze your data and provide insights, recommendations, and improved functionality. You acknowledge that the accuracy of such insights and recommendations depends on the quality and completeness of the data you provide.

You are responsible for ensuring that you have all necessary rights and permissions to upload and share any data through the Services, including but not limited to personal data of your employees, contractors, or any third parties.

Upon termination of your account, we will retain your data for a reasonable period as required by law or as necessary for our legitimate business purposes. You may request deletion of your data at any time, subject to our legal and business retention requirements.

7. Payment Terms

Certain aspects of the Services may require payment of fees. All fees are stated in South African Rand (ZAR) unless otherwise specified.

By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and you authorize us to charge your payment method for all fees associated with your use of the Services.

For subscription-based Services, you will be billed on a recurring basis according to the subscription plan you select. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms of Service.

For marketplace transactions, we may charge a commission or service fee as clearly disclosed at the time of transaction. Such fees are non-refundable.

You are responsible for all taxes associated with your use of the Services. If we are required to collect or pay any taxes on your behalf, those taxes will be charged to you at the time of billing.

We reserve the right to change our fees at any time. If we change our fees, we will provide notice of the change on the Services or by email, at our option, at least 30 days before the change takes effect.

8. Subscription Plans

ANML FARM offers various subscription plans, including:

  • Free Basic Plan: Allows users to upload a limited number of animals onto a farm at no cost.
  • Standard Plan: R99 per month for up to 1,000 animals’ data.
  • Commercial Plans: Bespoke pricing for more extensive usage requirements.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can cancel your subscription at any time through your account settings or by contacting our customer support.

If you cancel your subscription, you will continue to have access to the subscribed Services until the end of your current billing period. We do not provide refunds for partial subscription periods.

We reserve the right to modify, terminate, or otherwise amend our subscription plans at any time. If we make material changes to a subscription plan, we will notify you at least 30 days before such changes take effect.

9. Third-Party Services

The Services may integrate with or enable access to third-party services, websites, or resources (“Third-Party Services”). ANML FARM does not control or endorse any Third-Party Services and is not responsible or liable for the content, accuracy, quality, advertising, products, services, or other materials available on or from such Third-Party Services.

When you engage with Third-Party Services through our platform:

  • You do so at your own risk and subject to the terms and conditions of those Third-Party Services.
  • Any transactions you enter into with third-party service providers are solely between you and that provider.
  • While we may facilitate the connection, we do not guarantee the quality, reliability, or suitability of any third-party service provider.

We may receive commissions or fees from third-party service providers for referrals made through our platform. Such relationships will be disclosed in accordance with applicable laws.

You acknowledge that ANML FARM shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any Third-Party Services.

10. Commerce Policies

The Services may enable you to buy, sell, or trade various products and services, including animals, animal by-products, equipment, and subscriptions.

For Sellers:

  • You must have all necessary rights, licenses, and permits to sell the items you list.
  • You must provide accurate and complete information about the items you list, including any defects, limitations, or restrictions.
  • You are responsible for complying with all applicable laws and regulations related to the sale of your items, including but not limited to animal welfare laws, agricultural regulations, and consumer protection laws.
  • You authorize us to act as your commercial agent for purposes of facilitating transactions, processing payments, and communicating with buyers.

For Buyers:

  • You are responsible for reading all item descriptions before making a purchase.
  • You acknowledge that ANML FARM is not the seller of the items and does not warrant the accuracy of listings or the quality, safety, or legality of the items.
  • You are responsible for ensuring that your purchase and use of items comply with all applicable laws and regulations.

Affiliate Marketing:

Our Services may include an affiliate marketing program that allows participants to earn commissions on sales made through their referral codes. Participation in the affiliate program is subject to separate terms and conditions.

Returns and Refunds:

Our return and refund policies vary by product category. For digital products and subscriptions, refunds are generally not available unless required by law. For physical products, return policies will be specified at the time of purchase. Transactions directly between users (e.g., animal sales) are subject to terms agreed upon between the parties.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANML FARM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  • ANY CONTENT OBTAINED FROM THE SERVICES; AND
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OF SERVICE OR YOUR USE OF THE SERVICES IS LIMITED TO THE AMOUNT YOU HAVE PAID TO ANML FARM FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED SOUTH AFRICAN RANDS (ZAR 100), IF NO SUCH PAYMENT HAS BEEN MADE.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ANML FARM AND YOU.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ANML FARM, ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT WARRANT THAT:

  • THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED;
  • THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
  • THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or delete your account through the account settings.

All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to maintain, delete, or destroy all communications and materials posted or uploaded to the Services according to our internal record retention and/or destruction policies and applicable law.

15. Privacy Policy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms of Service by reference, explains how we collect, use, and disclose information about you in connection with your use of the Services.

By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

We may use data analytics and machine learning technologies to improve our Services and provide insights based on the data you provide. Such processing will be conducted in accordance with our Privacy Policy and applicable data protection laws.

16. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, including the validity, invalidity, breach, or termination thereof, shall be resolved through the following process:

Informal Resolution:

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at legal@anmlfarm.com. We will attempt to resolve the dispute by contacting you via email.

Arbitration:

If the dispute cannot be resolved informally, all disputes, controversies, or claims shall be finally settled by arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa by one or more arbitrators appointed in accordance with the said rules.

Venue:

The seat of arbitration shall be Pretoria, South Africa. The language of the arbitration shall be English.

Class Action Waiver:

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

Limitation on Time to File Claims:

Any cause of action or claim you may have arising out of or relating to these Terms of Service or the Services must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

17. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. We will provide notice of any material changes by posting the updated Terms of Service on this page with a new effective date.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms of Service.

If you do not agree to the new terms, please stop using the Services.

18. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms of Service will not be considered a waiver of those rights. If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions of these Terms of Service will remain in effect.
